of Use
Definitions
"T&C" refers to these terms and conditions. These terms are also available at yannandco.ch/cg. They may be updated without prior notice.
"The company" refers to Yann and Co Sàrl, located at 26, Grand-Rue, 1204 Geneva, Switzerland.
"The Client(s)" refers to any principal wishing to establish a contractual relationship with the company.
"The parties" refers jointly to the client(s) and the company.
Pricing
The company's services are billed per minute, at an hourly rate of CHF 149.- excl. VAT.
For non-profit organizations (associations, foundations), a preferential rate of CHF 135.- excl. VAT per hour is applied.
These services include, but are not limited to:
- Phone conversations and correspondence with the client and suppliers
- Interventions on computers, phones, servers and online services
- Research conducted by the company
- Evaluation of hardware and software on behalf of the client
Service Location
Services are provided from the company's headquarters. Staff may, if necessary, travel to the client's premises. In this case, travel expenses are charged:
- Geneva, city and canton: CHF 50.- excl. VAT for any trip
- Outside Geneva canton: CHF 149.- excl. VAT per hour, from and to the company's headquarters
Training and remote assistance are generally provided from the company's headquarters.
Support Response Time
For clients with a VIP maintenance subscription, the company commits to responding within 4 business hours for any IT support question (web and database interventions not included).
We generally do not respond to requests in the evening, on weekends and public holidays, or during annual closures. An on-call service may handle emergencies during these periods, without guarantee.
For clients without a VIP subscription, response times are on a "best effort" basis.
Data Protection
The company stores client passwords in its database, hosted at its headquarters. The company also uses a professional password manager. If the client does not wish the company to keep their passwords, they must notify the company in writing.
Upon termination of the contractual relationship, the company undertakes, at the Client's request, to destroy all information, data and passwords entrusted by the client.
The parties undertake to exchange all necessary information in full confidence and confidentiality.
Backup Management
When mandated to do so, the company may manually verify that identified backups have been properly performed.
The company cannot guarantee that the content of these backups is completely reliable and recoverable in its entirety. The company disclaims all responsibility in case of data loss due to backup problems.
Billing
For clients with a VIP subscription, the company sends in the first days of each month a complete list of actions performed the previous month. For time and materials clients, the invoice is generally sent at the end of the intervention.
The client must pay invoices within 30 days of receipt.
Invoices may be disputed in writing within 30 days of receipt. Any dispute must be resolved within the payment period.
If the amount exceeds CHF 1,000.- in a month, the company may issue an interim invoice.
Reminder Fees
- 30 days: CHF 20.- excl. VAT (postal mail)
- 40 days: CHF 30.- excl. VAT additional (registered mail)
- 60 days: Formal notice CHF 30.- (registered with AR)
Contract Duration
Unless otherwise agreed, the contract is concluded for 30 days, renewable month to month. The parties may terminate in writing with one month's notice at the end of a month.
Web and Software Projects
Any website or software development project must be paid in full before going live or being used.
Liability
The company disclaims all responsibility for consequences and damages caused by services provided by third parties, or by equipment purchased from third parties.
The client is responsible for any dispute with third parties. The company may, after receiving power of attorney, assist in these matters at its hourly rate.
Additional Provisions
This contract is governed by Swiss law.
Any dispute shall be settled exclusively by the Swiss courts. Prior to any legal proceedings, the parties undertake to seek the good offices of a mediator chosen by mutual agreement.
The place of jurisdiction is at the company's headquarters.
